Terms of Service

01Acceptance of Terms
By accessing or using Tim Agent ("the Service", "Tim"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these terms. If you do not agree, do not use the Service.
02Description of Service
Tim is an AI-powered Chief of Staff platform that integrates natively with Microsoft 365. Tim operates within your Microsoft Teams, Outlook, Calendar, SharePoint, OneDrive, and other M365 applications to automate tasks, generate insights, and assist with workflows via natural language instructions.
Tim is an AI system. Outputs may not always be accurate, complete, or appropriate for your specific situation. You are solely responsible for reviewing, approving, and acting on any output Tim produces.
03Account Registration
- You must sign in using a valid Microsoft 365 account.
- You must be at least 18 years old or have parental/guardian consent.
- You must provide accurate information and keep it up to date.
- You are responsible for all activity that occurs under your account.
- One workspace per organisation unless on an Enterprise plan. Creating multiple accounts to circumvent usage limits is prohibited and will result in account termination.
- You must immediately notify us of any unauthorised use of your account at support@gettim.co.
04Acceptable Use
You agree not to:
- Use Tim in violation of any applicable laws or regulations.
- Reverse engineer, decompile, or attempt to extract the source code of Tim.
- Use Tim to process data you do not have the legal right to access.
- Use Tim to generate, distribute, or store illegal, harmful, or abusive content.
- Attempt to circumvent rate limits, credit limits, or billing controls.
- Resell or white-label Tim's services without an explicit written agreement.
- Use Tim to send unsolicited communications (spam) to any person.
- Upload malware, viruses, or any malicious code through Tim.
Violation of acceptable use may result in immediate account suspension without refund.
05Microsoft 365 Integration
Tim accesses your Microsoft 365 data through Microsoft Graph API using OAuth delegated permissions you explicitly grant during sign-in. By granting permissions, you authorise Tim to read and write data in your M365 environment on your behalf.
- You can revoke Tim's access at any time from myapps.microsoft.com or your Tim dashboard.
- Tim's access is also governed by Microsoft's terms of service.
- You are responsible for ensuring Tim's use of your M365 data complies with your organisation's policies.
06Credits, Pricing and Payment
- Free credits: New accounts receive a one-time allocation of free credits. Free credits expire 90 days after account creation.
- Paid plans: Billed monthly or annually as selected at checkout via Stripe. Pricing is displayed on our Pricing page.
- Credit top-ups: One-time credit purchases are non-refundable once consumed. Unused top-up credits carry over indefinitely.
- Auto-upgrade: If your usage exceeds your plan's included credits, your subscription may be automatically upgraded to the next available plan tier. You will be notified immediately of any upgrade and may downgrade to your previous plan at any time from your billing settings. Auto-upgrade applies to plans up to the Scale tier; plans above Scale use usage-based overage billing instead.
- Overage billing: For Scale and Enterprise plans, usage beyond included credits is billed at the published overage rate ($13.99 per 1,000 credits). Overage charges appear on your next invoice.
- Cancellation: You may cancel your subscription at any time. Your plan remains active until the end of the current billing period. No partial refunds.
- Price changes: We will give 30 days' notice of any price changes.
- Taxes: Prices are exclusive of applicable taxes (VAT, GST, etc.) where required by law.
07Intellectual Property
- You retain full ownership of all data you provide to Tim, including your Microsoft 365 content.
- Outputs generated by Tim based on your data belong to you, subject to applicable law.
- Tim Agent Ltd retains all rights to the Tim platform, including software, algorithms, models, and branding.
- You grant Tim a limited licence to process your data solely to provide the Service.
08AI Disclaimer and Limitation of Liability
Tim is an artificial intelligence system and may produce inaccurate, incomplete, or inappropriate results. You are solely responsible for reviewing and approving all actions Tim takes before they are executed where applicable. Do not rely on Tim's outputs for legal, financial, medical, or safety-critical decisions without independent verification.
To the maximum extent permitted by law, Tim Agent Ltd shall not be liable for indirect, incidental, special, consequential, or punitive damages. Our total aggregate liability for any claim is limited to the amount you paid to us in the 12 months preceding the claim.
09Service Availability (SLA)
We target 99.5% monthly uptime for the Tim API and dashboard. Scheduled maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by third-party services (Microsoft Azure, Microsoft Graph API, Stripe) or events outside our reasonable control.
10Termination
- You may delete your account at any time from Settings → Account. Your data will be deleted within 30 days.
- We may suspend or terminate accounts that violate these Terms, with or without prior notice depending on severity.
- Upon termination, your right to use Tim ceases immediately. Provisions regarding IP, liability, and dispute resolution survive termination.
11Force Majeure
Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including natural disasters, government actions, internet outages, cyberattacks, or third-party service failures.
12Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales. Any dispute shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration under the rules of the London Court of International Arbitration (LCIA). If you are a consumer in the EU, you may also use the EU ODR platform at ec.europa.eu/consumers/odr.
13Changes to Terms
We may update these Terms with 30 days' notice via email or in-app notification. Continued use after the notice period constitutes acceptance of the updated Terms. We will never make silent changes to provisions that affect your rights.
